1. Definitions
- “Libarray”, “we”, “us” refers to Libarray LLP.
- “Library Partner”, “you” refers to the library or study space registering to list on Libarray.
- “Platform” refers to the Libarray app and website.
- “Student” refers to an end user who books a seat through the Platform.
2. Nature of the Relationship
Libarray is a marketplace facilitator. We connect students with libraries and, where applicable, collect payment on your behalf. This relationship is not one of employer-employee, principal-agent (beyond payment facilitation), partnership, or franchise. You remain an independent business, responsible for your own premises, staff, licenses, and compliance with applicable law.
3. Listing on Libarray
- Listing your library on Libarray is free for your first month. After that, a platform fee applies to bookings made through the Platform, as set out in Section 5.
- You are responsible for the accuracy of the information you provide, including seat availability, pricing, shifts, amenities, and photos. Misrepresenting your library’s facilities may result in removal from the Platform.
- Libarray reserves the right to approve, reject, or remove a listing at its discretion, including for incomplete information, policy violations, or student complaints.
4. How Payments Work
4.1 Online bookings
When a student books and pays online through the Platform, Libarray collects that payment on your behalf, through our payment partner, Razorpay. Libarray is not the owner of these funds — we act as a collection facilitator for the seat charge, and separately charge our own platform/facilitation fee.
4.2 Cash bookings
Where you choose to accept cash payments at your premises, you confirm the booking directly, and Libarray does not hold or collect that payment. You remain responsible for collecting and accounting for cash payments made directly to you.
4.3 Settlement
Settlement terms, including the frequency and method of payout, are agreed directly between you and Libarray outside the Platform, and payouts are settled on that basis.
5. Platform Fee / Commission
- Libarray charges a platform fee (commission) on bookings made through the Platform, as disclosed to you at the time of listing or as updated from time to time.
- The fee applicable to a given booking is fixed at the time that booking is made, and will not be retroactively changed for bookings already completed.
- Any change to future fee rates will be communicated to you in advance.
6. Taxes
- Libarray is responsible for GST compliance only on its own platform fee, under its own GSTIN (07AANFL4079M1ZM).
- You are solely responsible for your own tax obligations, including GST on the seat charges you receive, if you are GST-registered. If you are not GST-registered, no GST is charged on your portion of a booking.
- You agree to provide Libarray with accurate GST registration status and GSTIN (if applicable) so that booking receipts can correctly reflect your tax status.
- Libarray may be required to deduct tax at source (TDS) or collect tax at source (TCS) on amounts facilitated on your behalf, as required under applicable Indian tax law. You agree to cooperate in providing documentation (such as PAN) needed for this.
7. Your Obligations
You agree to:
- Honor confirmed bookings made through the Platform.
- Maintain the seats, shifts, and amenities as represented in your listing.
- Verify students at check-in using the Platform’s QR-based system.
- Maintain a safe, functioning study environment at your premises.
- Comply with all applicable laws relevant to operating your library, including local licensing, safety, and tax requirements.
- Not circumvent the Platform by redirecting Platform-sourced students to book outside Libarray to avoid the platform fee.
8. Libarray’s Role and Limits of Responsibility
- Libarray is not responsible for the physical condition, safety, staffing, or day-to-day operation of your library.
- Libarray is not liable for disputes between you and a student regarding conduct, facilities, or in-person experience, though we may assist in mediating such disputes where appropriate.
- Libarray is not liable for delays or failures in payment collection or settlement caused by our payment partner, banking systems, or events outside our reasonable control.
9. Term and Termination
- This agreement remains in effect while your library is listed on the Platform.
- Either party may terminate this relationship at any time, with written notice (email is sufficient) to the other.
- Termination does not affect obligations relating to bookings already completed or payments already due at the time of termination.
- Libarray may suspend or remove your listing immediately in cases of fraud, repeated student complaints, or violation of these Terms.
10. Confidentiality of Student Data
Any student information you receive through the Platform (name, booking details, contact information) may only be used to fulfil that student’s booking, and must not be used for unrelated marketing or shared with third parties.
11. Dispute Resolution
Any dispute arising out of or in connection with this agreement shall first be attempted to be resolved amicably between the parties. Failing that, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, and shall otherwise be subject to the exclusive jurisdiction of the courts at New Delhi.
12. Changes to These Terms
Libarray may update these Terms from time to time. Continued listing on the Platform after a change constitutes your acceptance of the updated Terms. Material changes will be communicated to you in advance where practicable.
13. Acceptance
By checking “I have read and agree to the Library Partner Terms and Conditions” during registration, you confirm that you have the authority to bind your library to this agreement, and that you accept these Terms in full.
